2. Eligibility

4. User Accounts and Responsibilities
4.1 Account Creation
To access certain features of the Services, you must create an account by providing accurate information, including your name, email address, and business details. You are responsible for maintaining the confidentiality of your account credentials and for all activities conducted under your account.
4.2 User Obligations
You agree to:
Use the Platform and Services solely for lawful, bona fide business purposes in compliance with applicable laws and Razorpay’s guidelines.
Not share, resell, or assign your account or Services to any third party without prior written approval from Minddale.
Notify Minddale immediately of any unauthorized access to or use of your account.
Provide accurate and updated information for payment processing and onboarding, as required by Razorpay.
4.3 Prohibited Activities
You shall not:
Use the Platform or Services for any unlawful, fraudulent, or unauthorized activities, including activities that violate Razorpay’s policies or applicable laws.
Post or transmit any content that is defamatory, obscene, threatening, or infringes on third-party rights, including intellectual property rights.
Introduce viruses, malware, or any code designed to disrupt the Platform’s functionality.
Attempt to reverse-engineer, hack, or otherwise interfere with the Platform’s security or operations.
Use the Services to impersonate another person or entity or to harm minors in any way.
Minddale reserves the right to suspend or terminate your account and access to the Services for any violation of these Terms, without prior notice.
5. Payment Terms
5.1 Payment Processing
Minddale uses Razorpay, a third-party payment gateway, to process payments for subscriptions and other fees. By making a payment, you agree to Razorpay’s Terms of Use (available at https://razorpay.com/terms) and Privacy Policy (available at https://razorpay.com/privacy).
5.2 Payment Security
All payment data is encrypted and processed in compliance with the Payment Card Industry Data Security Standard (PCI-DSS). Minddale and Razorpay do not store your card data on our servers. Transaction data is used only to complete your purchase and is not retained after the transaction is complete.
5.3 Subscription Fees
Subscription fees for the Services are outlined on the Platform. All fees are non-refundable unless otherwise stated. Minddale reserves the right to modify pricing at any time, with notice provided through the Platform or via email.
5.4 Failed Payments
If a payment fails, Minddale may suspend your access to the Services until payment is successfully processed. You are responsible for any additional fees incurred due to failed payment attempts.
6. Intellectual Property
6.1 Ownership
All content, trademarks, logos, and intellectual property on the Platform, including software, designs, and documentation, are owned by or licensed to Minddale. You are granted a limited, non-exclusive, non-transferable license to use the Services for your business purposes, subject to these Terms.

You retain ownership of any content you upload or create through the Services ("User Content"). By uploading User Content, you grant Minddale a worldwide, non-exclusive, royalty-free license to use, store, and process such content solely to provide and improve the Services.

9. Limitation of Liability

Minddale’s total liability for any claim shall not exceed the amount paid by you for the Services in the preceding 12 months.

10. Indemnification

11. Termination
11.1 By You
You may terminate your account and use of the Services at any time by contacting us at support@minddale.com. No refunds will be provided for unused portions of subscription fees unless required by law.
11.2 By Minddale
Minddale may suspend or terminate your access to the Platform or Services at its sole discretion, with or without notice, for reasons including but not limited to:
Violation of these Terms or applicable laws.
Non-payment of fees.
Suspected fraudulent or unauthorized activity.
Upon termination, your right to access the Services will cease, and Minddale may delete your account data in accordance with our Privacy Policy.
12. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising from these Terms or your use of the Platform or Services shall be resolved through arbitration in Bangalore, India, in accordance with the Arbitration and Conciliation Act, 1996. The arbitration shall be conducted in English by a single arbitrator appointed by Minddale. The decision of the arbitrator shall be final and binding.
Subject to the arbitration clause, the courts in Bangalore, India, shall have exclusive jurisdiction over any matters arising from these Terms.
13. Miscellaneous
13.1 Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
13.2 Entire Agreement
These Terms, together with the Privacy Policy and any other referenced policies, constitute the entire agreement between you and Minddale regarding the Platform and Services.
13.3 Force Majeure
Minddale shall not be liable for any delay or failure to perform due to causes beyond its reasonable control, including natural disasters, government actions, or technical failures.
13.4 Assignment
You may not assign your rights or obligations under these Terms without Minddale’s prior written consent. Minddale may assign these Terms at its discretion.
